These Terms apply to all users including visitors, subscribers, and contributors of content.

2. Eligibility

You must be at least 18 years old to use the Platform.

By using the Platform, you represent and warrant that:

• Your use of the Platform complies with applicable laws.

3. Nature of the Platform

Cooks Intent is a technology platform designed to assist users with cooking, recipe discovery, and meal planning.

Platform features may include:

• Recipe discovery and management.
• Meal planning tools.
• Pantry inventory tracking.
• Grocery list generation.
• Barcode scanning.
• AI-assisted recipe creation.
• Nutritional and allergen estimates.
• Camping and travel cooking modes.
• Offline functionality.
• User-submitted recipes and reviews.

Cooks Intent is not a food manufacturer, retailer, or healthcare provider.

We do not:

• Prepare or sell food.
• Guarantee allergen safety.
• Guarantee nutritional accuracy.
• Provide medical or dietary advice.

All food preparation and consumption decisions are made solely by users at their own risk.

4. User Accounts

Some features require the creation of a user account.

You agree to:

• Provide accurate information.
• Maintain the security of your login credentials.
• Accept responsibility for activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Payments

5.1 Subscription Plans

Cooks Intent offers paid subscription plans.

Prices may vary by region and currency and may be updated periodically with notice.

5.2 Merchant of Record and Payment Processing

All payments are processed by Paddle, which acts as the Merchant of Record for transactions made through the Platform.

Paddle handles:

• Payment processing.
• Billing and invoicing.
• VAT, GST, and sales tax compliance.
• Regulatory compliance for digital sales.

Payment methods available through Paddle may include:

• Credit and debit cards.
• PayPal.
• Other local payment methods depending on location.

Cooks Intent does not store full payment card information.

By subscribing, you acknowledge that you may be required to agree to Paddle’s checkout terms and privacy policy.

5.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.

Users may cancel subscriptions at any time through their account settings.

Upon cancellation, the subscription will remain active until the end of the current billing period.

5.4 Free Trial, Cancellation and Refunds

Cooks Intent offers a 14-day free trial for new users. No charges will be made during the trial period.

If the subscription is not cancelled before the end of the trial, the user will be charged the applicable subscription fee.

Users may cancel their subscription at any time through their account settings.

If a user cancels during the free trial period, no payment will be taken.

If a user cancels within 14 days after the first successful payment, they may request a refund. Refund requests will be reviewed and processed manually. Approval of refunds remains at the discretion of Cooks Intent, except where required by applicable law.

If a user cancels more than 14 days after the first successful payment, no refund will be issued. The subscription will remain active until the end of the current billing period and will not renew.

All refunds are processed through Paddle and returned to the original payment method.

5.5 Taxes

Applicable taxes such as VAT, GST, or sales tax may apply depending on the user’s location.

These taxes are calculated and collected by Paddle as part of the checkout process.

Prices displayed during checkout may include applicable taxes depending on local regulations.

5.6 Subscription Cancellation

Users may cancel their subscription at any time through their account settings. Cancellation prevents future renewals but does not refund the current billing period unless required by applicable law.

5.7 Pricing Changes

Cooks Intent may update subscription pricing from time to time. Where required by applicable law, users will be notified in advance of any price changes. Updated pricing will apply from the next billing cycle following such notice.

5.8 Free Trial

Cooks Intent may offer a free trial period for new subscribers (“Free Trial”).

During the Free Trial period:

• Users are required to provide valid payment details at the time of sign-up.
• No charges will be applied until the Free Trial period ends.

Unless cancelled before the end of the Free Trial period, the subscription will automatically convert into a paid subscription and the applicable subscription fee will be charged using the provided payment method on the day following the end of the Free Trial period.

Users may cancel their subscription at any time during the Free Trial period through their account settings to avoid being charged.

Free Trials are limited to one per user unless otherwise stated.

Cooks Intent reserves the right to:

• Modify or withdraw Free Trial offers at any time.
• Determine eligibility for Free Trials at its sole discretion.
• Refuse or revoke Free Trial access where misuse or abuse is suspected.

5.9 Founding Cook Offer

Cooks Intent may offer a limited “Founding Cook” promotion to a fixed number of early subscribers.

Under this promotion:

• Eligible users who subscribe within the first 1,000 qualifying subscriptions may receive access to a discounted subscription rate (“Founding Rate”).
• The Founding Rate will remain in effect for as long as the subscription remains active and uninterrupted.

If a user cancels their subscription:

• The Founding Rate will be forfeited.
• If the user later re-subscribes, they will not be eligible to regain the Founding Rate and will be subject to the standard pricing available at that time.

Founding Cook benefits may include:

• A permanent in-app badge
• Early access to new features
• Other benefits as determined by Cooks Intent

Cooks Intent reserves the right to:

• Modify or end the Founding Cook promotion at any time.
• Determine eligibility for the promotion.
• Substitute or update associated benefits at its discretion.

The Founding Cook offer is limited to one per user and may not be transferred, shared, or resold.

5.10 Free Plan (No Payment Required)

Cooks Intent may offer a free version of the Platform (“Free Plan”) which allows users to access limited features without providing payment details.

The Free Plan may include restricted access to certain functionality, usage limits, or feature caps, which may be updated from time to time.

Cooks Intent reserves the right to:

• Modify, limit, or discontinue the Free Plan or any part of it at any time
• Restrict usage or apply limits (including but not limited to recipe uploads or feature access)
• Upgrade, downgrade, or restructure Free Plan features

Users may upgrade from the Free Plan to a paid subscription at any time.

Cooks Intent does not guarantee the continued availability of any feature within the Free Plan and may change or remove features without notice.

Free Plan accounts may be subject to inactivity controls, including data deletion or account deactivation after a prolonged period of inactivity.

6. Privacy and Data Use

Your use of the Platform is governed by our Privacy Policy.

• Dietary and allergy settings.
• Pantry inventory data.
• User-generated content.

We do not sell personal data.

7. Third-Party Services

The Platform integrates with third-party services including:

• Spoonacular for recipe data.
• OpenAI for AI-generated content.
• Nutrition datasets including those from the U.S. Food and Drug Administration.
• Infrastructure and security services such as Cloudflare.

Cooks Intent does not control and is not responsible for errors or outages caused by third-party services.

8. Health, Nutrition & Food Safety Disclaimer

8.1 Informational Use Only

Recipes, nutritional estimates, and allergen indicators are provided for informational purposes only.

They do not constitute medical advice or professional nutritional guidance.

8.2 Nutritional Estimates

Nutritional values are calculated using automated tools and third-party databases and are estimates only.

Actual values may vary depending on ingredient brands, preparation methods, and portion sizes.

8.3 Allergen Responsibility

Allergen indicators are based only on listed ingredients and may not account for:

• Manufacturing cross-contamination.
• Brand variations.
• Ingredient substitutions.

Users with food allergies must verify ingredient labels before preparing or consuming food.

8.4 Assumption of Risk

By using the Platform, you accept responsibility for food preparation and consumption decisions.

8.5 Medical Emergency Disclaimer

Food allergies may cause severe or life-threatening reactions.

If you experience symptoms of an allergic reaction or other medical emergency, seek immediate medical attention.

8.6 User Responsibility for Ingredients

Users are solely responsible for verifying ingredient labels, allergen warnings, preparation methods, and food safety practices before preparing or consuming any recipe found on the Platform.

Ingredient brands, manufacturing processes, and cross-contamination risks may vary by supplier and location. Cooks Intent cannot guarantee that recipes or ingredient listings will be suitable for individuals with specific allergies, dietary restrictions, or medical conditions.

Users should exercise their own judgment and consult qualified professionals where appropriate.

9. Artificial Intelligence Content

Certain recipes, images, and content on the Platform may be generated or assisted by artificial intelligence systems.

AI-generated content may contain inaccuracies and should be reviewed before reliance.

AI-generated content may not be unique, and similar content may be generated for other users. Cooks Intent does not guarantee originality and does not claim that AI-generated content is free from third-party rights.

10. User Content

10.1 Submitting Recipes, Photos and Comments

Users may submit recipes, photos, reviews, and comments.

By submitting content to the Platform, you grant Cooks Intent a perpetual, worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt, and distribute that content for the purpose of operating, improving, and promoting the Platform.

This license survives account termination for content that has already been published or shared within the Platform.

We reserve the right to moderate, edit, or remove content.

Users represent and warrant that they own or have the necessary rights to submit any content they upload to the Platform, including recipes, images, and text.

Users must not submit content that infringes the intellectual property rights, copyrights, or proprietary rights of others.

Cooks Intent is not responsible for verifying ownership of user-submitted content but reserves the right to remove any content suspected of violating intellectual property rights.

Cooks Intent may display attribution information associated with submitted recipes, including the contributor’s name or username.

10.2 User Imported Recipes (Private Use)

The Platform may allow users to import or upload recipes from third-party sources (“Imported Recipes”).

Imported Recipes are stored for personal, private use only and are not made publicly available to other users.

Users are solely responsible for ensuring they have the right to use any Imported Recipes and that such use does not infringe the intellectual property rights of third parties.

Cooks Intent does not review, verify, or assume responsibility for Imported Recipes.

Imported Recipes uploaded under the Free Plan are subject to the same private-use restrictions and may be limited, restricted, or removed in accordance with Free Plan feature limits.

11. Prohibited Uses

Users may not:

• Use the Platform for unlawful purposes.
• Upload malicious code.
• Attempt to reverse engineer the Platform.
• Interfere with security systems.
• Impersonate others.
• Share or distribute third-party content without the necessary rights.

Violations may result in account suspension or termination.

11.1 Notice and Takedown

If you believe that content on the Platform infringes intellectual property rights or violates applicable law, you may submit a notice to: admin@cooksintent.com

Your notice should include:

• Identification of the content.
• Location of the material.
• Description of the alleged violation.
• Contact information.

Upon receiving a valid notice, Cooks Intent may review the request and remove or disable access to the content.

12. Intellectual Property

All Platform content excluding user submissions is the intellectual property of Cooks Intent Inc. or its licensors.

Unauthorized reproduction or distribution is prohibited.

Users must not share or distribute third-party content without the necessary rights or permissions.

12.1 Database and Content Protection

Users may not systematically extract, scrape, copy, download, or reuse substantial portions of the Platform’s content, including recipe databases, structured ingredient data, cooking methods, or AI-generated recipes, without prior written permission from Cooks Intent.

This includes the use of automated tools, bots, data-mining systems, or artificial intelligence systems designed to reproduce, republish, or build competing services using Platform content.

Unauthorized extraction or reproduction of Platform content may constitute a violation of intellectual property rights and applicable database protection laws.

13. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

We do not guarantee uninterrupted, error-free, or continuous access. Access may be suspended or restricted for updates, maintenance, or technical issues.

14. Limitation of Liability

To the fullest extent permitted by law, Cooks Intent shall not be liable for:

• Indirect damages.
• Incidental damages.
• Consequential damages.
• Loss of profits or data.

Total liability shall not exceed the subscription fees paid by the user in the preceding 12 months.

15. Indemnification

Users agree to indemnify and hold harmless Cooks Intent Inc., its directors, officers, employees, affiliates, and service providers from claims arising from:

• Use of the Platform.
• Content submissions.
• Violation of these Terms.
• Violation of applicable laws.

16. Termination

We may suspend or terminate access to the Platform if users violate these Terms.

17. Beta Features

From time to time we may offer experimental or beta features.

These features may be modified or discontinued without notice.

18. Changes to Terms

We may update these Terms periodically.

Updated Terms will be posted on the Platform.

Continued use of the Platform constitutes acceptance of the updated Terms.

19. Security and Bot Protection

The Platform may use security services such as Cloudflare to prevent automated abuse.

Complete security cannot be guaranteed.

20. Governing Law

These Terms are governed by the laws of Panama.

21. Assignment

Cooks Intent may transfer these Terms in connection with a merger, acquisition, or sale of assets.

Users may not transfer their rights under these Terms without written consent.

22. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
